The Carrow family company and trustSection A style · IHT on gifts and death · 50 marks
Edith Carrow, aged 79, has asked your firm to advise her on passing her family company and an investment property to her family. Edith has always been UK resident, so she is a long-term UK resident. She was divorced in 1994 and has not remarried. It is now 1 November 2025.

60% (30,000 shares)1,320,000
40% (20,000 shares)480,000
Note 1: Carrow Precision Ltd. Edith formed this unquoted trading company, a precision engineering business, in 1998, subscribing £50,000 for all of its 50,000 ordinary shares, and she has owned all of them since. She is still a director. Her son Daniel, aged 52, is its managing director. Daniel says that all of the company's assets are used in its trade; the firm has not yet seen the company's latest accounts. For your calculations, assume that Daniel is right. The table shows the values of holdings in the company at 1 December 2025. Note 2: Gift of shares. On 1 December 2025 Edith will give 30,000 shares (a 60% holding) to Daniel. Daniel intends to keep them: assume that he still owns them, and that they still qualify for business property relief, at any date of Edith's death. Edith has never claimed business asset disposal relief. Note 3: The trust. On 15 January 2026 Edith will transfer an industrial unit in Swindon, let to an unconnected tenant, to the trustees of a new discretionary trust for her grandchildren. She bought the unit in 2009 for £230,000; it is worth £520,000. The trustees will pay any inheritance tax on the transfer. The draft trust deed excludes Edith from any benefit. Gift holdover relief will be claimed on the industrial unit in every case. Note 4: Earlier gifts. On 1 August 2023 Edith gave £90,000 in cash to her daughter Ruth. She has made no other lifetime gifts. Note 5: Edith's income. Edith's taxable income for 2025/26 will be £64,000, all of it non-savings income, whatever she decides. Note 6: Chloe. Daniel's daughter Chloe, aged 20, is a university student. The trustees plan to pay her £5,500 out of the trust's income on 1 March 2026. Her only other income for 2025/26 is £4,000 from part-time employment, from which no tax was deducted. Note 7: Daniel's telephone call. Yesterday Daniel telephoned your firm. He asked whether the share transfer form could be dated 1 March 2025, 'so that the seven-year clock starts earlier', and asked for a copy of your advice to Edith and of her will. He also said that the tenant's rent 'can still be paid to Mum informally, because she needs the income'. Note 8: Rules to apply. Business property relief is given at 100% on unquoted trading company shares owned for at least two years. The inheritance tax annual exemption is £3,000 for each tax year. Assume that the 2025/26 rules, rates and allowances continue to apply in future years. Ignore national insurance contributions.
